Welcome to Empourium. These Terms of Service (“Terms”) govern your access to and use of empouriumathens.com (the “Site”) and the products, services, and experiences we offer, including rooftop and lounge service, reservations, guest list and event RSVPs, private events and buyouts, gift cards, promotions, and any related services (collectively, the “Services”).

Empourium is owned and operated by Hospitality South LLC (“Empourium,” “we,” “us,” or “our”), located at 364 E Broad Street, Athens, GA 30601.

By accessing the Site or using any of our Services, you agree to these Terms. If you do not agree, please do not use the Site or our Services.

1. Eligibility

‍

You must be at least 18 years old to use the Site and submit reservations or inquiries. You must be 21 or older to purchase or consume alcoholic beverages, including frozen cocktails, slushie cocktails, and any other beverages dispensed from our slushie machines. By using the Site, you represent that you meet these age requirements. We reserve the right to refuse service to anyone for any lawful reason, including failure to verify age. Valid government-issued photo ID is required for entry to age-restricted areas and for the purchase of alcoholic beverages.

2. Use of the Site

‍

You may use the Site for personal, non-commercial purposes only. You agree not to:

• Use the Site in any way that violates applicable law.
• Attempt to gain unauthorized access to the Site, our systems, or other users’ accounts.
• Interfere with or disrupt the Site, including by introducing viruses, malware, or excessive traffic.
• Use bots, scrapers, or automated tools to access or extract content from the Site, except for public search engines indexing the Site in the ordinary course.
• Reproduce, modify, distribute, or create derivative works of any content from the Site without our written permission.
• Impersonate any person or misrepresent your affiliation with us or anyone else.
• Use the Site to harass, abuse, or harm another person.
• Collect or harvest information about other users.

3. Reservations, Guest List, and Cancellations

‍

Reservations and guest list submissions may be made through the Site or through our reservation and ticketing partners. Reservations are subject to availability and may be modified or canceled by us if needed. Large parties, holidays, themed nights, DJ sets, live music, and special events may require a deposit, a credit card hold, a cover charge, or a cancellation fee. Specific cancellation and no-show policies will be disclosed at the time of booking.

We hold reservations for a reasonable grace period. Guests arriving significantly late may be reseated as availability allows. Private and semi-private bookings are governed by a separate agreement.

‍

Guest list submissions, RSVPs, and event tickets do not guarantee entry. Entry is subject to capacity, venue conditions, dress code, ID verification, and the discretion of our staff and security.

4. Rooftop Access, Weather, and Capacity

‍

The rooftop is subject to capacity limits, fire code requirements, and operational decisions made at our discretion. Access to the rooftop may be limited, delayed, paused, or closed entirely due to weather conditions (including rain, lightning, high winds, and extreme temperatures), private events, capacity, maintenance, or safety considerations. We do not guarantee rooftop access in connection with any reservation, ticket, or visit, and we are not liable for closures or restrictions resulting from weather or operational needs.

5. Dress Code, Conduct, and Right of Refusal

‍

We may enforce a dress code and conduct standards for entry and continued service, particularly during nightlife and event programming. We reserve the right to refuse entry, deny service, and remove any guest from the premises at our sole discretion, including for intoxication, disorderly or unsafe conduct, harassment of guests or staff, refusal to comply with house rules, or any conduct that we believe may pose a risk to other guests, staff, or property. No refunds will be provided for cover charges, deposits, minimums, or other amounts in the event of refusal of entry or removal for cause.

6. Menu, Pricing, and Availability

‍

Drink menus, slushie and frozen cocktail flavors, food offerings (where available), prices, and item availability are subject to change without notice. Prices may vary based on factors including:

• Seasonal availability of ingredients and produce.
• Market pricing of spirits, beer, wine, and other beverages.
• Special events, holidays, festivals, DJ nights, and live music nights.
• Themed nights and limited-time slushie or cocktail releases.
• Happy hour windows, daily specials, and limited-time offers.
• Promotional periods and partnership events.
• Bottle service, table service, and reserved seating packages.

Prices shown on the Site, on third-party reservation and ticketing platforms, on printed menus, on chalkboards, and on signage are provided for informational purposes and may not always reflect the current price. The price applicable to your order is the price displayed at the point of sale at the time you place the order.

If a price is listed incorrectly due to a typographical or system error, we reserve the right to refuse or cancel the order, even after the order has been confirmed or charged. In that case, we will issue a full refund.

‍

Some items may be unavailable due to supply issues, sell-outs, kitchen or bar capacity, equipment limitations (including slushie machine availability and capacity), or event-specific service. We do our best to keep menus current but cannot guarantee the availability of any item.

‍

Photos of drinks and food on the Site and in our marketing are for illustration only. Plating, garnish, glassware, and presentation may vary.

‍

7. Promotions, Specials, and Happy Hour

‍

From time to time we run promotions, happy hour deals, daily specials, ticketed events, contests, and other limited offers. Each offer has its own terms, which will be made available at the time of the offer. Unless stated otherwise:

• Offers cannot be combined with other promotions or discounts.
• Offers are subject to availability and may end at any time.
• Offers are limited to in-person redemption unless otherwise specified.
• Offers have no cash value and are non-transferable.
• We reserve the right to cancel, modify, or refuse any promotion at our discretion.

8. Gift Cards

‍

Gift cards may be purchased through the Site or in person. Gift cards are non-refundable, may not be redeemed for cash (except where required by law), and are subject to the additional terms printed on the card or provided at purchase. We are not responsible for lost or stolen gift cards.

9. Private Events, Buyouts, and Bottle Service

‍

Private events, semi-private buyouts, rooftop buyouts, full-venue rentals, and bottle service or reserved-table packages are subject to a separate event or service agreement that governs deposits, minimums, cancellation, food and beverage selections, service charges, and other terms. The terms of any such agreement control in case of any conflict with these Terms.

10. User-Generated Content

‍

If you post a review, photo, video, comment, tag, or other content on our social media, on a review platform, or directly on the Site, you grant Empourium a worldwide, royalty-free, non-exclusive, perpetual, transferable license to use, reproduce, modify, distribute, and display that content in connection with our business and marketing, including on our website, social media, advertising, and printed materials, with appropriate credit where reasonable. You represent that any content you post is your own original work, does not violate anyone’s rights, and complies with the platform’s rules and applicable law. We may remove or refuse to use any content at our discretion.

You also acknowledge that photography, videography, and audio recording may take place on the premises for marketing, security, and operational purposes. By entering Empourium, you consent to being photographed, filmed, or recorded, and to the use of your likeness in our marketing materials without compensation.

11. Intellectual Property

‍

The Site and its content, including text, photos, illustrations, logos, brand marks, menus, recipes, descriptions, software, and design, are owned by Empourium or our licensors and are protected by U.S. and international intellectual property laws. The Empourium name, the Empourium Rooftop & Lounge name, the Empourium logos, and related marks are trademarks of Hospitality South LLC. You may not use them without our prior written permission.

12. Third-Party Services and Links

‍

The Site may link to or integrate with third-party services, including reservation platforms, ticketing partners, payment processors, social media platforms, automation and form-routing tools (such as Make.com), spreadsheet and document storage (such as Google Workspace), and analytics tools. These services are governed by their own terms and privacy policies. We are not responsible for the content, products, services, or practices of third parties.

13. Disclaimers

‍

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR THAT IT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make reasonable efforts to disclose allergens and ingredients for items prepared on premises, but we cannot guarantee that any item is free from cross-contact with allergens. Guests with allergies or dietary restrictions should speak with a manager before ordering. We are not liable for adverse reactions to ingredients or allergens.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EMPOURIUM, HOSPITALITY SOUTH LLC, AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations on liability, so portions of this section may not apply to you.

15. Indemnification

‍

You agree to indemnify, defend, and hold harmless Empourium, Hospitality South LLC, and our officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another person or entity.

16. Governing Law and Jurisdiction

‍

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. You agree that any dispute arising out of or related to these Terms, the Site, or our Services will be resolved exclusively in the state or federal courts located in Athens-Clarke County, Georgia, and you consent to personal jurisdiction in those courts.

17. Termination

‍

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. If the changes are material, we will provide a more prominent notice (such as a banner on the Site or an email). Your continued use of the Site or Services after the changes take effect means you accept the revised Terms.

19. Miscellaneous

‍

These Terms, together with our Privacy Policy and any other agreements we provide to you in writing, constitute the entire agreement between you and Empourium regarding the Site and Services. If any part of these Terms is found unenforceable, the remaining parts will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent. We may assign these Terms at any time.
